Constitution Of the Kudzu Kountry Wooly Club
Article I - Name
This club shall be known and designated as the Kudzu Kountry Wooly Club.
Article II - Objects
The object of this club shall be to promote, encourage, and develop the Jersey Wooly rabbit in all of its aspects throughout the southeast United State, to afford memberships to persons interested in breeding, marketing, owning and/or exhibiting Jersey Woolies and associated products and do all things necessary to effect this purpose.
Article III - Membership
Any person engaged in raising Jersey Wooly rabbits, or any person interested in Jersey Wooly rabbits may become a member of this club by payment of dues in the amount set by the club.
Article IV - Officers
Section 1: The Officers of this club shall be President, Vice-President, Secretary, Treasurer, and three (3) or more Directors. The offices of Secretary and Treasurer may be combined.
Section 2: The Officers and Directors shall be elected by and from the membership on a bi-annual basis via mail ballot. Ballots shall be mailed to members in December to be collected and counted in January of the following year.
Section 3: The Officers and Directors shall serve for a term of two (2) years starting January 1, or until their successors are duly elected and qualified. All Officers of this club shall be members in good standing of the Kudzu Kountry Wooly Club and the American Rabbit Breeders Assoc.
Article V - Discipline
Section 1: Charges of misconduct may be filed against any member by any member. Charges must be filed in writing with the Secretary/Treasurer or the President.
Section 2: The Secretary/Treasurer or the President must furnish a complete statement of charges to the member against whom charges have been filed.
Section 3: The statement of charges and the reply, if received, shall be made available to each Board member for consideration The Board may, by majority vote, reprimand, suspend, or expel the member. Less than a majority shall constitute a dismissal of the charges.
Section 4: Any member suspended or expelled shall not be eligible for reinstatement within one year of the date of suspension or expulsion and must have the approval of the Board of Directors.
Section 5: Any officer, director, or committee member who does not fulfill his/her duties or shows a lack of interest in club matters shall be reviewed in the same manner as outlined in Sections 2 and 3.
Article VI - Meetings
Section 1: This club shall meet as needed or requested by the Board of Directors.
Section 2: The President has the authority to call any special meeting as may be required to conduct the business of the club.

Article VII - Newsletters
Section 1: A quarterly newsletter will be mailed to inform members of upcoming shows, minutes from club meetings, current events, and any other news concerning the club, club members, and the Jersey Wooly.
Article VII - Amendments
Section 1: Amendments to the Constitution shall only be made following approval by a 2/3 majority vote of the members casting ballots. Any proposed amendment to be considered at a special meeting shall be voted on only after all members have received notice of such meeting and the purpose of the special meeting stated in the notice.
By-Laws of the Kudzu Kountry Wooly Club
Article I - Membership and Dues
Section 1: All memberships shall run annually starting from the month in which dues and application are received.
Section 2: Membership dues shall be $7.00 single membership with $2.00 for each additional member(s) at the same address. Payment of membership dues is to be made at the time of application and is renewable by payment of like amount each year thereafter. Members will be dropped from the roll if their dues are not paid in 90 days.
Article II - Duties of Officers
Section 1: The President shall preside at all meetings and act as chairperson of the Board of Directors, appoint all committees, call special meetings of the club or of the Board of Directors, fill all vacancies in office by appointment, perform other duties pertaining to the office, and have such other authority as may be conferred upon him/her by the Board of Directors. The President shall be an ex-officio member of the Board of Directors.
Section 2: The duties of the Vice-President shall be the same as those of the President in the event the President is absent or unable to carry out the duties of office for any reason. The Vice-President shall automatically succeed the President in office should the office of President every become vacant. The Vice-President shall be an ex-officio member of the Board of Directors.
Section 3: The Secretary shall keep all records of the club, keep the minutes of all meetings, keep a record of the members, and collect such funds as directed by the Board of Directors, accounting for and delivering to the Treasurer. The Secretary is responsible for notifying officers and members, as appropriate, of the time and place of all meetings, sending out membership renewal notices, publication of membership lists, and all correspondence and general business of the club. The Secretary shall be an ex-officio member of the Board of Directors.
Section 4: The Treasurer shall collect all monies due the club, keep an accurate record of such funds, make payments as directed by the Board of Directors, and make a report of his/her actions at each meeting. The Treasurer shall be an ex-officio member of the Board of Directors.
Section 5: The Board of Directors shall have charge of the business affairs and transactions of the club, make contracts in the name of the club, and interpret any rules, regulations, or By-Laws in question.
Article III - Committee
Section 1: The President shall appoint all committees, subject to the approval of a simple majority of the Board of Directors.
Section 2: Any special committee deemed appropriate by the President may be appointed for that particular function and shall be discharged upon completion of their assignment.
Article IV - Voting Procedure
Section 1: An Election and Resolutions Chairperson shall be appointed by the President and be responsible for receiving petitions, and sending, receiving, and counting ballots pertaining to electoral votes or any resolutions before the membership. The Election and Resolutions Chairperson must be a member not running for any office and be 18 years of age or older.
Section 2: All candidates for office must be members in good standing of the ARBA and KKWC.
Section 3: Petitions for office shall be made in writing to the Election and Resolutions Chairperson no later than December 1 during an election year to fill offices for the following year.
Section 4: Ballots will be mailed to all members on or before December 1 and then collected until January 1. Returned ballots must be received no later than January 1.
Section 5: The Election and Resolutions chairperson will be responsible for receiving, opening, and filing the ballots and tabulating the results. Results of the election will be reported at the January meeting of the KKWC and will also be reported in the next occurring newsletter.
Section 6: In the event of a tie vote, a re-vote will be cast by all voting members. If the vote is again tied, the Board of Directors will vote by secret ballot. If this results in a tie, the President shall cast the final vote to break the tie.
Section 7: All ballots on any voting issue shall be filed and maintained by the Election and Resolution Chairperson for a period of one year from the voting date. The Election and Resolution Chairperson shall furnish tabulated results to the President within 10 days following the closure of all polls.
Article V - Authority
The interpretation of the Constitution, By-Laws, all rules and regulations, and other matters affecting the club is vested in the Board of Directors.
